Partner Referral Terms

Unified Energy Group (UEG) is the trading name of Unified Energy Group Ltd, company number 17398014, registered office 137 Golden Cross Lane, Catshill, Bromsgrove, Worcestershire, B61 0LA ("UEG", "we", "us").

By joining the UEG Partner Programme or accepting these terms, you become a UEG Partner for the purposes of making introductions to us.

You are not our employee, agent or representative and cannot make commitments or enter into agreements on behalf of UEG.

A referral can be made through your UEG Partner Portal, unique referral link, by email to UEG, or another method agreed with you. Where possible, we recommend a direct introduction between UEG and your contact.

Before sharing personal contact details, make sure the person knows about the introduction and is happy for UEG to contact them. We’ll record qualifying referrals against your partner account.

The first valid introducer receives the referral attribution. A referral normally qualifies where:

• You introduce the customer to UEG.
• We can identify that the introduction came from you.
• The customer is not already a UEG customer or an active opportunity known to us.
• If attribution is uncertain, our records and other available evidence will determine it fairly. Once accepted, the customer remains attributed to you under these terms.

Where your referral results in a customer entering into a contract with UEG, your standard referral commission is 5% of the UEG contract value, excluding VAT.

For example, on a customer contract value of £100,000 excluding VAT, the partner commission is £5,000.

Commission is based on the final contract value after agreed changes, reductions, credits or cancellations. There is no commission on VAT or amounts cancelled, refunded or never received by UEG.

Our normal policy is to pay once the project is complete and UEG has received full cleared payment from the customer. We may choose to pay in instalments as the customer pays us, but are not obliged to do so.

We aim to pay within 30 days of commission becoming payable and receiving any invoice or information reasonably required from you.

If VAT registered, provide a valid VAT invoice where required. You are responsible for tax or other liabilities arising from commission paid to you.

If a customer you originally introduced later buys additional products or services from UEG, your attribution continues. Subject to these terms, the standard 5% commission applies to qualifying repeat business.

• Additional solar projects or sites
• Battery storage or EV charging
• Maintenance, solar cleaning, repairs or upgrades
• Other energy products or services subsequently supplied by UEG

If a customer you introduced later joins the programme and introduces a new customer, they receive the standard 5% commission and you receive an additional 1% of the qualifying UEG contract value from that new customer.

The additional 1% continues for each qualifying new customer introduced directly by that partner and operates one generation back only.

Recommend UEG honestly and professionally. Do not make technical, financial, performance or pricing promises on our behalf unless specifically authorised. Your role can be as simple as making the introduction.

UEG handles assessment, customer advice, recommendations and quotations, technical design, commercial negotiations and delivery. We’ll keep you updated through the Partner Portal and/or directly.

Do not use the programme dishonestly, misleadingly, unlawfully or in a way that could damage UEG or its customers. If you represent another organisation, ensure its rules permit introductions and referral payments.

• Do not offer an improper payment, gift or benefit to secure business.
• Do not represent yourself as a UEG employee or authorised agent.
• Do not make commitments on our behalf, send unlawful marketing or misuse customer information.
• Do not make unapproved claims about products, performance, savings or pricing.

Partners may describe themselves as a Unified Energy Group Partner and use approved UEG partner materials and branding. Do not change our logos, materials or technical claims without approval.

Selected partners may receive co-branded marketing, landing pages, website integrations, campaigns, webinars, events or other support. Strategic or exclusive relationships may have a separate agreement.

Keep customer, commercial, pricing or technical information confidential and use it only for its intended purpose. We’ll do the same with confidential information you provide.

You or UEG can end participation at any time in writing, including by email. This does not normally remove entitlement relating to valid customers introduced before leaving.

UEG may immediately suspend or end participation following fraud, dishonesty, unlawful conduct, customer-data misuse, serious reputational damage or another serious breach.

We may update these terms and will publish the latest version through the Partner Portal or website, notifying partners of material changes. A change will not retrospectively remove commission already payable on an existing contract. We may ask you to accept an update before making further referrals.

Joining does not guarantee that a referral will result in a quotation, project, sale or commission. UEG decides whether to pursue an opportunity and on what commercial terms.

Nothing creates an employment relationship, partnership, joint venture or legal agency. If a separate written agreement conflicts with these terms, that agreement takes priority.

These terms and related disputes are governed by the laws of England and Wales, whose courts have jurisdiction.
